“Heart of Home” Mosaic
The “Heart of Home” mosaic (the “Mosaic”) is a fun, virtual fundraising event for Family Promise of Las Vegas, a Nevada nonprofit corporation (“FPLV”). THERE ARE NO PRIZES OR COMPENSATION OF ANY KIND OR NATURE FOR YOUR PARTICIPATION IN THE MOSAIC.
To participate in the Mosaic, you donate to FPLV and submit a photo that celebrates your family, holidays, and home. Donations of any dollar amount are accepted. Please check with your tax advisor regarding tax deductibility.
By submitting your photograph (your “Photo”) to be posted on the Mosaic, you hereby agree to all of the following:
- Your Photo will be reviewed by FPLV before being posted on the Mosaic, and you will be notified by e-mail when your Photo is posted on the Mosaic. FPLV may refuse to post your Photo on the Mosaic (including, without limitation, any message communicated in the Photo) in FPLV’s sole discretion and without any explanation to you except that FPLV will notify you by e-mail of such refusal.
- You agree to receive e-mails from FPLV without further authorization.
- You grant to FPLV a nonexclusive, royalty-free, perpetual, worldwide, and irrevocable license that gives FPLV the right to use, edit, modify, adapt, reproduce, publish, distribute, and display your Photo on the Mosaic and any other FPLV communications (websites, social media, newsletters, press releases, etc.) without any notice or compensation.
- You represent and warrant that (i) you own all right, title, and interest in and to your Photo, (ii) your Photo does not violate any third-party rights, and (iii) you are not submitting your Photo to the Mosaic for any of the following reasons: impersonating another person or entity, falsely misrepresenting your identity or your affiliations, illegal, or fraudulent purposes, transmitting or distributing any objectionable material that is illegal, harassing, defamatory, tortious, sexually explicit, obscene, hateful, or racist; sending or relaying spam; or transmitting material that contains viruses, Trojan horses, worms, time bombs, cancel bots, or other programs that are designed or intended to disrupt, destroy, harm, or damage the Mosaic or the website that hosts the Mosaic.
- Without limiting the generality of the remainder of these Terms & Conditions, FPLV reserves the right at any time to remove your Photo from the Mosaic if FPLV deems, in its sole discretion, that your Photo or any portion thereof is in violation of these rules.
- You release and agree to defend, indemnify, and hold harmless FPLV and its directors, employees, volunteers, affiliates, sponsors, agents, representatives, successors, and assigns from any damage, injury, death, loss, or other liability, either at law or equity, whether known or unknown, asserted or non-asserted, that may arise from or in any way relate to your participation in the Mosaic or your Photo.
- YOUR PARTICIPATION IN THE MOSAIC IS ON AN “AS IS, WHERE IS, WITH ALL FAULTS” BASIS AND AT YOUR SOLE RISK, AND FPLV DOES NOT PROVIDE ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES REGARDING MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IN CONNECTION WITH YOUR PARTICIPATION IN THE MOSAIC.
- The Mosaic and your participation therein shall be governed by, and construed in accordance with, the laws of the State of Nevada, regardless of conflict of law principles. Any and all disputes, claims, actions, litigation, or proceedings arising out of or in connection with the Mosaic shall be resolved individually, without resort to any form of class action, and shall take place exclusively in the federal and state courts of competent jurisdiction sitting in Clark County, Nevada. you expressly consent to the jurisdiction of and venue in such courts and waive all defenses of lack of jurisdiction and inconvenient forum with respect to such courts. ANY CLAIMS, JUDGMENTS, AND/OR AWARDS SHALL BE LIMITED TO YOUR ACTUAL OUT-OF-POCKET DONATION ASSOCIATED WITH PARTICIPATING IN THE MOSAIC. YOU HEREBY WAIVE ANY RIGHTS OR CLAIMS TO ATTORNEY’S FEES, INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER FORESEEABLE OR NOT AND WHETHER BASED ON NEGLIGENCE OR OTHERWISE.
